Publisher's remuneration: the amount the Publisher sets when publishing the issue and receives from each sale (in the interface: "desired profit", the Publisher's margin). Agent's commission: the Agent's remuneration for performing the assignment, calculated by the Site and shown to the Publisher when the issue is created. Rules: the dpbee.ru Publisher Rules, an annex to this agreement. Reporting period: a calendar month.
2.1. The Publisher instructs, and the Agent undertakes, for remuneration, in its own name but at the Publisher's expense, to conclude sales of printed copies and digital copies of the Publisher's issues to buyers and to perform related actions: list issues on the Site, arrange printing, packing and delivery of printed copies, provide digital copies to buyers, take payments, issue fiscal receipts, and handle buyers' enquiries, claims and returns.
2.2. Under transactions with buyers the Agent acquires the rights and obligations (clause 1, Art. 1005 of the Civil Code). Towards buyers the Agent is the seller and is liable to them for print quality, deadlines, delivery and returns under consumer protection law. The Publisher is shown on the issue page as the publisher (manufacturer of the publication).
2.3. Licence. To perform the assignment the Publisher grants the Agent, for the term of the agreement, a simple (non-exclusive) royalty-free licence to use the issue in the following ways: reproduction (including printing copies to buyers' orders and storing the file), distribution of copies, making the cover and preview pages available to the public, provision of digital copies to buyers, use of the cover and previews for announcements of the issue on the Site and in the Agent's channels (social networks, newsletters). Territory: the Russian Federation for the sale and delivery of printed copies; worldwide for the sale of digital copies and the display of the cover and previews. The licence is royalty-free under clause 5, Art. 1235 of the Civil Code: the Publisher is paid not for the licence but for copies sold under section 8. The Agent may sub-license reproduction to a print shop for printing to order.
2.4. Price. The retail price of an issue is set by the Agent and consists of three components: the printing cost, the Publisher's remuneration and the Agent's commission. The calculation is made automatically in the personal account when the issue is created and shown to the Publisher before publication; all three components are visible to the Publisher. For a digital copy the printing cost is zero. The price for buyers is stated in roubles.
2.5. The Agent independently chooses the print shop, materials, binding (from the options offered at upload), delivery service and order handling procedure.
2.6. This is a contract of adhesion (Art. 428 of the Civil Code). The Rules are an integral part of the agreement.
3.1. A Publisher may be:
3.2. At registration and before the first payout the Publisher provides:
3.3. The Agent may refuse registration or suspend sales and payouts until documents are provided. The Publisher must update data and payout details in the personal account within 5 business days of any change. A payout to the details shown in the account on the payout date is deemed proper.
3.4. By registering, the Publisher confirms being at least 18 years old, having legal capacity and, if acting for an organisation, being authorised to conclude the agreement.
4.1. The agreement is concluded by ticking the box "I accept the Publisher Agency Agreement and the Publisher Rules" on the publisher registration form. The Agent records the date, time, IP address and version accepted by the Publisher.
4.2. Publishers registered before this version took effect accept it at their next sign-in to the personal account. Until acceptance, uploading new issues is unavailable; sales of previously listed issues continue under the 2021 version for 30 days from the effective date of this version and are then suspended until the new version is accepted.
The Publisher warrants, for every uploaded issue, that:
5.1. it is the rights holder of the issue or is entitled to permit its use in the ways set out in clause 2.3 under agreements with text authors, photographers, illustrators, designers and other rights holders;
5.2. for every depiction of a person, that person has consented to the publication and use of their image in the issue, for commercial purposes, with the right to print, sell and show previews and the cover on the Site and in announcements (Art. 152.1 of the Civil Code), and for minors the consent of their legal representative; the Publisher keeps such consents (model releases) for at least 3 years after the issue is removed from sale and provides them to the Agent on request within 5 business days;
5.3. in 18+ issues all persons depicted were 18 or older at the time of the shoot, and the Publisher holds documentary proof of each person's age;
5.4. the issue contains no pornography, no sexual material involving minors or persons who appear to be minors, no extremist material, no propaganda of ideas or symbols banned in Russia, no calls to violence, insults, false statements about specific persons, third-party personal data without consent, or other content prohibited by Russian law, and complies with the Rules;
5.5. the issue is correctly age-rated and the layout contains the age mark and the imprint (section 6);
5.6. if the issue is a registered mass medium, the Publisher reports this and provides registration details; if the issue is published outside Russia, the Publisher states the country of publication;
5.7. AI-generated images, if present in the issue, do not imitate real people without their consent, are not based on others' works without the rights holders' permission, and their presence is stated in the imprint;
5.8. the information provided about itself is accurate.
Breach of a warranty is a material breach of the agreement.
5.9. Third-party advertising in the issue. The Publisher does not place advertising of third parties' goods, works or services in the issue without the Agent's written (e-mail) approval. If advertising is approved, the Publisher is responsible for compliance with Federal Law No. 38-FZ "On Advertising" (the "advertising" label, identification of the advertiser, registration and labelling of online advertising where applicable, restrictions for 18+ material) and reimburses the Agent for related fines and losses.
5.10. Manufacturer details. The Agent shows the Publisher's name (brand) and country on the issue page as the manufacturer of the publication (Art. 10 of the Consumer Rights Protection Law). The full name of an individual Publisher is shown only if no name (brand) is set. Publication is based on the Publisher's separate consent to the dissemination of personal data (Art. 10.1 of Federal Law No. 152-FZ). Without that consent the issue is not admitted for sale.
6.1. Technical requirements are set out in the Rules and on the Site's "Help" page; in case of discrepancy the "Help" page prevails as the current version.
6.2. Language. The issue title is entered in Russian first; a foreign-language version may follow as a duplicate. The issue description is given in Russian; an English description may be added as a duplicate. The exception for a registered trademark applies only if the Publisher uploads the Rospatent certificate. The cover and inner pages are part of the work and are not subject to this requirement.
6.3. Age rating. The Publisher selects the rating at upload (0+, 6+, 12+, 16+, 18+) under the criteria of Art. 7–10 of Federal Law No. 436-FZ and is responsible for the correct choice. Issues depicting the nude body are rated 18+ and listed in the "Nude" section. The rating mark must appear in the layout on the cover in a legible size and in the imprint (Art. 12 of Federal Law No. 436-FZ; no minimum size is set by law for printed products).
6.4. Imprint. The issue layout must state: the title of the publication, issue number and date, publisher (name, country), age rating mark, the words "print on demand" (for the printed version), and a note on the presence of AI-generated images, if any. The Agent may add seller and return information on the last page or an insert.
6.5. The cover must not show the nude body if the issue is intended for sections other than "Nude". For the "Nude" section the cover and previews are not shown, or are shown blurred, until the visitor confirms their age.
7.1. The Agent reviews every issue before publication: technical requirements, age rating, the Rules, language and imprint requirements. Review time: up to 3 business days from upload. The Agent may request documents under section 5; the review period is suspended while documents are awaited.
7.2. The Agent may refuse publication, remove an issue from sale or change its rating if the issue breaches the agreement, the Rules or the law, if a third party claims an infringement of rights, if a state authority issues an order, or if the content is unacceptable for the Site under the Rules. The Agent notifies the Publisher by e-mail and in the personal account, stating the reason, and allows 5 business days for objections and documents; sales of the issue are suspended for that period. In case of an obvious breach of law (material involving minors, pornography, evident infringement of rights, breach of 18+ rules) the issue is removed immediately without prior notice; a notice stating the reason is sent after removal.
7.3. The Publisher may contest a removal by e-mail to support@dpbee.ru within 10 days of the notice; the Agent replies within 10 business days. The Agent's decision in borderline cases provided for in the Rules is final; this does not deprive the Publisher of the right to go to court.
7.4. Storage. An issue with no sales for 100 consecutive calendar days is automatically deleted from the Site. The Agent warns the Publisher by e-mail at least 5 days before deletion. The Publisher may re-upload the issue. Digital copies bought by buyers remain available to them after deletion for the period set in the buyers' offer.
7.5. The Publisher may remove an issue from sale in the personal account at any time. Paid orders for that issue are fulfilled.
7.6. The Agent may keep the issue file after removal from sale for 3 years to fulfil paid orders, handle returns, replace defective copies and defend against claims.
8.1. The Agent's remuneration (Agent's commission) is the difference between the sale price to the buyer (excluding delivery) and the sum of the printing cost and the Publisher's remuneration: price = printing cost + Publisher's remuneration + Agent's commission. All three components are visible to the Publisher in the personal account for every issue. The Agent withholds its remuneration and the printing cost from the amounts received from buyers.
8.2. The Publisher is due the Publisher's remuneration for each printed copy or digital copy sold and paid for by a buyer for which no refund was made. If a refund is made to the buyer, no remuneration accrues for that sale, and remuneration already paid is withheld from subsequent payouts. In case of a partial refund (refund of the balance under the offer rules) the Publisher's remuneration is reduced in proportion to the refunded share of the issue price.
8.3. Agent's report. Within 5 business days after the end of the reporting period the Agent posts an agent's report in the personal account (Art. 1008 of the Civil Code): list of sales (issue, type, quantity, date, price), refunds, the Publisher's remuneration, deductions, and the amount payable. The Publisher may object within 10 business days of posting; absent objections the report is deemed accepted. The report is the basis for payout and for both Parties' accounting; no separate act or invoice is required.
8.4. Payout. The Agent pays the Publisher's remuneration within 15 business days after the end of the reporting period, provided the details and documents under section 3 have been supplied. Minimum payout: 1,000 roubles; smaller amounts are carried forward and accumulated. Objections to the report do not suspend payment of the undisputed part.
8.5. Currency and payout methods. Settlements with the Publisher are in Russian roubles. Methods:
8.6. Bank and payment system fees for the transfer to the Publisher are deducted from the payout. Fees for accepting buyers' payments (acquiring) are borne by the Agent out of the Agent's commission.
8.7. Taxes. Each Party calculates and pays taxes on its own income. The Agent is not the Publisher's withholding agent except where the law expressly so provides; in such cases the Agent withholds tax from the payout and notifies the Publisher. A foreign Publisher wishing to apply a double taxation treaty provides a certificate of tax residence before the payout.
8.8. All amounts in the account and reports are in roubles. The 2021 provisions on US dollar prices and conversion no longer apply.
9.1. The Agent undertakes to: list issues that have passed moderation; fulfil buyers' orders; prepare reports and pay remuneration on time; show the Publisher current sales in the personal account; not use the issue in ways not listed in clause 2.3; keep the Publisher's data confidential; identify the Publisher on the issue page.
9.2. The Agent may: set the retail price under clause 2.4, the page design, the order of issues in the catalogue and announcements; choose the print shop and delivery service; refuse publication and remove issues under section 7; set off buyer refunds and losses under section 10 against payouts; use the cover and previews in Site announcements; grant buyers discounts and promo codes out of the Agent's commission (the Publisher's remuneration is not reduced).
9.3. The Publisher undertakes to: comply with the warranties of section 5 and the requirements of section 6 and the Rules; respond to the Agent's document requests within 5 business days; keep data and payout details current; not list the same issue under different titles; issue tax documents (self-employed receipts) on time where required; not promise buyers terms that differ from the Agent's offer.
9.4. The Publisher may: set and change its remuneration per issue (the change applies to orders paid after the change); remove an issue from sale; receive reports and payouts; contest the Agent's decisions under clause 7.3; terminate the agreement.
10.1. The Publisher is liable to the Agent for breach of the warranties in section 5 and reimburses the Agent's losses, including amounts paid to third parties under claims and court decisions, administrative fines, refunds to buyers for reasons related to the issue's content, and reasonable legal defence costs, within 10 business days of receiving a demand with supporting documents. The Agent may set off such amounts against payouts.
10.2. The Agent is liable to the Publisher for late payout in the form of interest under Art. 395 of the Civil Code.
10.3. The Agent is not liable for the Publisher's lost profit, for removal of an issue on the grounds of section 7, or for Site unavailability for technical reasons lasting no more than 72 consecutive hours.
10.4. The Parties are released from liability in case of force majeure, provided the other Party is notified within 5 business days.
11.1. The Publisher's data is processed under the Personal Data Processing Policy (https://dpbee.ru/policy) and a separate consent. Buyers' personal data is not shared with the Publisher; the agent's report shows sales without buyer data.
11.2. The Parties do not disclose each other's settlement terms and commercial information to third parties except as required by law.
12.1. The agreement is concluded for an indefinite term from acceptance.
12.2. The Agent may amend the agreement and the Rules. The Agent notifies the Publisher of a new version by e-mail and in the personal account at least 15 days before it takes effect; for changes to material terms (the method of determining the Publisher's remuneration and the Agent's commission, payout timing and methods) at least 45 days. A Publisher who disagrees may terminate the agreement before the changes take effect; continued use of the personal account after the effective date constitutes acceptance of the new version. Changes to the Rules required by changes in legislation take effect on the date set by law.
12.3. The Publisher may terminate the agreement at any time by notice to support@dpbee.ru from the account e-mail or by a button in the personal account. The agreement ends after 3 business days; issues are removed from sale, paid orders are fulfilled, and accrued remuneration (including amounts below the minimum payout) is paid within the period in clause 8.4.
12.4. The Agent may terminate the agreement: for a material breach by the Publisher (sections 5, 6, the Rules) immediately upon notice; otherwise with 15 days' notice.
12.5. After termination the licence under clause 2.3 remains in force to the extent needed to fulfil paid orders, provide buyers with digital copies already bought, replace defective copies and handle returns.
13.1. Legally significant notices are sent to the personal account and the e-mail given at registration (for the Publisher) and to support@dpbee.ru (for the Agent). A notice is deemed received on the business day following dispatch.
13.2. Disputes are resolved by negotiation. A claim is sent in writing (e-mail is acceptable); the response period is 15 calendar days.
13.3. If no agreement is reached, the dispute is referred to the court at the Agent's location: with a sole proprietor or legal entity Publisher, to the arbitrazh (commercial) court; with an individual (self-employed) Publisher, to the court of general jurisdiction at the Agent's location (contractual jurisdiction, Art. 32 of the Civil Procedure Code; the Publisher is not a consumer); with a foreign Publisher, to the arbitrazh court at the Agent's location (Art. 247, 249 of the Arbitrazh Procedure Code).
13.4. Applicable law: the law of the Russian Federation.
14.1. Annexes: the Publisher Rules; technical requirements for PDF files ("Help" page). The annexes form part of the agreement.
14.2. Invalidity of one term does not invalidate the others.
14.3. The current version is published on the Site; previous versions are available on request at support@dpbee.ru.
14.4. For foreign Publishers the agreement is also published in English; in case of discrepancy the Russian text prevails.
